This Comvita Philippines website (the “site”) is operated and managed by Grenelle Central Corporation (Grenelle), an authorized distributor of Comvita Limited (“Comvita”), a company domiciled in New Zealand, and listed on the New Zealand Stock Exchange. Throughout the site, the terms “we”, “us” and “our” refer to GCC. We offer this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By visiting our Site and/ or purchasing something from us, you have agreed to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including additional terms, conditions and policies referenced herein and/or available by hyperlink. These Terms of Service is applicable to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

You may order goods described on the Website for the price specified on the Website. All prices are expressed in Philippine Peso and are inclusive of goods and services tax chargeable. We reserve the right to amend the prices of Goods from time to time without prior notice.
Delivery of the Goods to you will take place in the manner chosen by GCC unless agreed otherwise with you. All expected delivery dates and time are estimates only. We shall not be liable for any loss or damage incurred or suffered by the customer as a result of any late delivery.
5. Products or Services
Certain products or services may be available exclusively online through the website. With limited quantities, products or services are subject to return or exchange only according to our Return Policy.
Please note that colors and images of our products may differ from the actual product.
We reserve the right, but are not obligated, to limit the sales of our products or services to any person, geographic region or jurisdiction on a case-by-case basis. We reserve the right to limit products’ quantities and services that we offer. Descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. We also reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.
6. Accuracy of Billing and Account Information
We reserve the right to refuse any order you place with us, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we will notify you by contacting the e-mail and/or billing address/phone number provided. If we reject your order, we undertake to reimburse you for any payments already received by us. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, to complete your transactions and contact you as needed.
7. Payment
Payment must be affected in the manner described on the Website. Prices are inclusive of tax unless otherwise stated. Prices are, however, exclusive of other taxes, duties and charges imposed or levied in Philippines or overseas in connection with the supply of the Goods.
Where payment is by credit card, you will be liable for all Orders placed using your credit card.
8. Possession and Risk
Possession and risk in the Goods shall pass to you upon delivery of the Goods to your agent or carrier or upon delivery of the Goods to the address supplied by you when placing an Order.
9. Incorrect Orders
Short or incorrect Orders must be reported to Comvita Philippines within three (3) working days upon receiving with the receipt together with the invoice number. Any Goods returned must be clean and free from price markings. Goods that have been partially/ fully damaged or are not resaleable may not be credited in full.
10. Defective Goods
If Goods are purchased on the Website, and those Goods do not conform to specification or are defective, please report to Philippines within three (3) working days upon receiving with receipt together with the invoice number. Do make sure that the product remains sealed, unopened and in its original condition. Comvita Philippines will at its option to replace such Goods or refund the purchase price. If the claims made after the 3 working days upon receiving the goods, we shall have the discretion to refuse your claims. All requests for refund will be reviewed on case-by-case basis and subjected to the company’s approval. We reserve the rights to reject any exchange or refund for opened or used product. We shall not be liable to you for any losses, liabilities, costs, damages, charges or expenses as a result.
11. Notification of Problem
We shall not be liable for any damage, discrepancy or shortage in the Goods unless you notify us and the carrier within three (3) working days of the time of delivery of the Goods.
12. Optional Tools
We may provide you with access to third-party tools such as Facebook Chat over which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). You must take your own precautions to ensure that the process which you employ for accessing the Internet Sites, and/or downloading any information from the Internet Sites, does not expose you to the risk of viruses, malicious computer code or other forms of interference which may damage your computer system, telecommunication equipment or other property. We do not accept responsibility for any interference or damage to your computer system or telecommunication equipment which may arise in connection with your use of the Internet Sites or any linked website.

23. License
We grant you a revocable, non-transferable and limited license (“License”) for the purpose of learning about Comvita and its products, registering, ordering and paying for Comvita products, and making personal use of the Internet Sites. Any contravention by you of these Terms and Conditions terminates the License immediately.
Under no circumstances, without our prior written approval of, you shall not adapt, reproduce, store, distribute, print, display, publish or create derivative works from any part of the Internet Sites other than in accordance with the License. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service will remain effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease accessing or using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement with you at any point of time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

35. Comvita Philippines Loyalty Program
By agreeing to join the loyalty program and submitting your particulars to us, you consent to our collection, use and disclosure of your personal data for the use of marketing-related activities, and the enjoyment of our membership privileges. We are able to amend your loyalty points where necessary without prior notice.
36. Force Majeure
We shall not be liable for any delay or failure to perform caused by or resulting from acts of God, fire, flood, accident, riot, war, government intervention, embargoes, strikes, labour difficulties, equipment failures, or any other causes beyond our control.
